*TERMS OF AGREEMENT*

AGREEMENT: The following are the contract terms of the agreement to rent exhibit space at the World Health*Fitness*Wellness Expo/Trade Show (WHE). As an Exhibitor, your acceptance of these terms shall constitute a binding agreement. Each Exhibitor agrees to abide by all terms listed below.

EXHIBITS AND PRODUCTS

Eligibility: WHE reserves the right to determine whether any company or product is eligible under the Expo standards for inclusion.

Required: All products and services to be sold, offered or referred to during WHE must be listed on the Application.

Multi-Level/Network Companies: must all be listed on the Application. There is no exclusive vendor, except Dr. John Gray.

FIRE/SAFETY LAWS/REGULATIONS

Regulations: All federal, state and city regulations pertaining to fire and safety must be adhered to. Exhibitors are responsible for meeting all city/state resale licensing agreements, laws and standards.

Prohibited:

v NO Food or Beverage.

v Open flames, lit candles or burning of incense is NOT allowed.

v No helium balloons allowed.

v Smoking is not permitted in the convention center.

v NO John Gray products (except by John Gray and his designated representatives).

Insurance: is the responsibility of the Exhibitor and is recommended. Exhibitors are responsible for obtaining their own general liability insurance for the show date, and pre-set-up and break-down.

Replacement: WHE is not responsible for replacement of lost or stolen goods. Exhibitors indemnify WHE and the convention center for any and all claims/suits.

Liability: The Exhibitor agrees to make no claim for any reason whatsoever, including negligence, against WHE, its members, agents, employees or the owners of the Expo premises for loss, theft, damage or destruction of property or for any injury to Exhibitor or its employees.

PAYMENTS/CANCELLATION POLICIES

Fees: Full payment for all fees must be included with registration. No refunds after January 15, 2006.

BOOTH CONFIRMATION

Booth Number Assignment: will be posted Friday, March 24, 2006, set up time from 4 – 8 pm. WHE will assign booths in best interest of show.

BOOTH INFORMATION

Signage/Display: All must be professionally made.

Easels, signs, and other items of display, etc. shall not extend beyond the specific measured booth area.

Extra Tables: Additional tables either 6' or 8' are available for a fee of $15.00. To assure availability, pre-order.

Skirting and Table Covers: All tables must have tablecloth cover with skirting that extends to the floor (exhibitor provides).

Electricity: Obtained directly from Expo Center. Extra charge.

Aisles and Exits: As designated on approved show plans, shall be kept clean, clear and free of obstacles.

Brochures/Samples: Distribution of literature and/or samples is strictly limited to the confines of the Exhibitor's booth.

Sound Systems: Voice and/or music amplification must be kept to a sufficiently low volume so as not to disturb others.

Courtesy: Exhibitors agree to conduct themselves in a respectful, cooperative manner appropriate to the integrity of attendees, fellow exhibitors and the show management staff.

Booth Resale: WHE reserves the right to resell any exhibit space if it is not set up by noon on the day of the show.

EXHBITOR BOOTH SET UP

Pre-Set Up: Friday, March 24, 2006 from 4 to 8 pm; day before WHE:

v We encourage set up of large/bulky equipment.

v Note: Security—building is locked after hours.

Day of Show Set Up: is Saturday, March 25, 2006, 7 am:

v To be completed by 9 am. Doors open at 9 am.

END OF SHOW LOAD OUT

Load Out: Begins at 6 pm, Sunday, March 26, 2006:

v PLEASE DO NOT START BEFORE THEN!

v Complete any transactions as quickly as possible.

v Teardown and Load Out must be completed by 10 pm.
